Terms of Service

• "Service" means the ComplianceGrid web platform available at complianceengine.in and related mobile/desktop applications.
• "User" or "You" means any individual or entity that accesses or uses the Service.
• "Client Data" means company, director, shareholder, and compliance information uploaded by the User.
• "Subscription" means a paid or free plan granting access to the Service.
• "We", "Us", or "Our" refers to ComplianceGrid (complianceengine.in).

You must be at least 18 years old and a qualified professional (Company Secretary, Chartered Accountant, or authorised representative) to use the Service for compliance management purposes.

When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

Notify us immediately at support@complianceengine.in if you suspect unauthorised access to your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Upload false, misleading, or fraudulent client data
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Use the Service to violate any applicable law, including the Companies Act 2013, SEBI regulations, or any RBI directive
• Reverse-engineer, decompile, or attempt to extract the source code of the platform
• Share your account credentials with individuals outside your authorised team
• Use automated bots or scrapers to access the platform without prior written permission
• Upload malicious code, viruses, or any content that could harm the Service or other users

You retain full ownership of all Client Data you upload to ComplianceGrid. We process this data solely to provide the Service.

You represent and warrant that:

• You have obtained all necessary consents from your clients to upload their data to our platform
• The data you upload does not violate any third party's rights or applicable law
• You are responsible for the accuracy and completeness of data you enter

You may export or delete your data at any time from the platform. See our Privacy Policy for full details on how we handle your data.

The ComplianceGrid platform, including its software, design, compliance rules engine, AI models, and all related materials, is our proprietary property and is protected by Indian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose during your subscription term. This licence does not include the right to copy, modify, or distribute our platform or its components.

You retain all rights to your Client Data. You grant us a limited licence to process your data solely to provide the Service.

ComplianceGrid aggregates publicly available circulars, notifications, and updates from MCA, SEBI, and RBI for informational purposes. This data is provided as-is and does not constitute legal advice.

We make reasonable efforts to keep this data accurate and current, but we do not guarantee completeness or timeliness. You remain responsible for independently verifying regulatory requirements applicable to your clients.

ComplianceGrid includes AI-powered features (compliance suggestions, document drafting assistance) powered by third-party AI services. These features:

• Are provided as assistance tools only and do not constitute legal or compliance advice
• Should be reviewed and validated by a qualified professional before acting on them
• May occasionally produce inaccurate output — you remain responsible for final compliance decisions

No Legal Advice: ComplianceGrid is a software tool, not a law firm. Nothing on the platform constitutes legal, regulatory, or professional advice. Consult a qualified professional for specific compliance guidance.

Service Availability: We target 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.

Limitation: To the maximum extent permitted by applicable law, our total liability to you for any claim arising from use of the Service shall not exceed the amount paid by you in the 3 months preceding the claim.

No Consequential Damages: We shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

You agree to indemnify, defend, and hold harmless ComplianceGrid and its team members from any claims, losses, damages, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your Client Data; (c) your violation of these Terms; or (d) your violation of any applicable law.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India.

Before initiating legal proceedings, parties agree to attempt good-faith resolution. Send a notice of dispute to legal@complianceengine.in with a description of the issue. We will respond within 15 days.

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 15 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ComplianceGrid.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Our failure to enforce any provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
